2.3 Client Responsibilities. You agree to provide us with timely access to your personnel, systems, and information reasonably required to perform the Services. Delays in fulfilling these responsibilities may impact project timelines and fees .

Intellectual Property Rights

3.1 Ownership of Deliverables. Upon full payment of all fees due for a specific project, we assign to the Client all Intellectual Property Rights in the Deliverables specifically developed for that project, excluding our Pre-Existing Materials .

3.2 Pre-Existing Materials. We retain all rights to any tools, libraries, code, or methodologies we owned or developed prior to the project or developed independently of it (“Pre-Existing Materials”). We grant you a perpetual, royalty-free, non-exclusive license to use any Pre-Existing Materials incorporated into the Deliverables solely as part of the Deliverables .

3.3 Website Content. Unless otherwise agreed, you are responsible for securing the licenses for any content, images, or data you provide for use in the project.

Fees and Payment

4.1 Fees.- Fees are detailed in each SOW and may be structured as fixed price, time-and-materials, or milestone-based .

4.2 Invoicing and Payment. – Invoices are payable within 14 days of the invoice date. We reserve the right to suspend work or withhold deliverables if payments are not received when due .

4.3 Late Payment. – Late payments may incur interest at a rate of 1.5% per month or the maximum allowed by law, plus any recovery costs.

4.4 Taxes. – Fees are exclusive of GST and other applicable taxes, which will be added where required by law.

Confidentiality

5.1 Both parties agree to hold all Confidential Information in strict confidence and not to disclose it to third parties except as necessary to perform this Agreement.

5.2 Confidential Information does not include information that: (a) is or becomes public knowledge through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; or (c) is independently developed by the receiving party.

5.3 This obligation survives the termination of this Agreement for a period of three (3) years .

Warranties and Disclaimer

6.1 Our Warranty. – We warrant that the Services will be performed in a professional and workmanlike manner and that the Deliverables will conform to the specifications in the SOW for a period of 30 days following delivery (“Warranty Period”) .

6.2 Disclaimer. – EXCEPT AS EXPRESSLY STATED HEREIN, THE SERVICES AND DELIVERABLES ARE PROVIDED “AS IS.” WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Limitation of Liability

7.1 To the maximum extent permitted by Singapore law, neither party shall be liable for any indirect, incidental, special, or consequential damages arising out of this Agreement.

7.2 Our total liability for any claim arising under this Agreement shall not exceed the total fees paid by the Client for the specific project giving rise to the claim .

Termination

8.1 Termination for Convenience. – Either party may terminate a SOW or this Agreement with 14 days’ written notice.

8.2 Termination for Cause. – Either party may terminate this Agreement if the other party materially breaches its terms and fails to cure such breach within 14 days of written notice.

8.3 Effect of Termination. – Upon termination, you shall pay for all Services rendered up to the date of termination. Any accrued rights to payment and the provisions regarding IP (for which payment has been made), confidentiality, and limitation of liability shall survive termination.

Governing Law and Dispute Resolution

9.1 Governing Law. – These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore .
